Acknowledgment
These Terms and Conditions govern your use of this Website and form an agreement between You and the Company. By accessing or using the Website, you agree to be bound by these Terms. If you disagree with any part of them, please do not use the Website.
These Terms cover the Website only. Any IT Services we provide to you are governed by a separate written agreement between you and the Company. If anything in a service agreement conflicts with these Terms, the service agreement controls for that work.
Your use of the Website is also subject to our Privacy Policy, which explains how we collect and handle your personal information. Please review it before using the Website.
Use of the Website
The Website is provided for general information about the Company and its services. You agree to use it lawfully and not to interfere with its operation, security, or availability, or to attempt to access it in any way other than through the interface we provide.
Intellectual Property
The Website and its content—including text, graphics, logos, and design—are owned by the Company or its licensors and are protected by applicable law. You may view and share the content for personal or internal business purposes, but you may not copy, reproduce, or reuse it commercially without our permission.
Links to Other Websites
Our Website may contain links to third-party websites or services that the Company does not own or control. We are not responsible for the content, privacy policies, or practices of any third-party sites, and we are not liable for any loss or damage arising from your use of them. We encourage you to review the terms and privacy policies of any third-party site you visit.
Termination
We may suspend or end your access to the Website at any time, without notice, if you breach these Terms or if we reasonably need to for security, legal, or operational reasons. Upon termination, your right to use the Website ends immediately.
Limitation of Liability
The Website is provided free of charge for informational purposes. To the fullest extent permitted by law, the Company will not be liable for any indirect, incidental, or consequential damages—including loss of profits, data, or business—arising out of or related to your use of, or inability to use, the Website. Where liability cannot be fully excluded, the Company’s total liability relating to the Website is limited to CAD $100.
This section applies to the Website only. Our responsibilities and any limits of liability for IT Services are set out in the separate service agreement for that work.
”As Is” and “As Available” Disclaimer
The Website is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, the Company disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted, error-free, secure, or free of harmful components, or that its content is always accurate or current.
Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you. In that case, these exclusions apply to the greatest extent permitted by law.
Governing Law
These Terms and your use of the Website are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
Disputes
If you have a concern or dispute about the Website, please contact us first so we can try to resolve it informally. Any dispute that cannot be resolved that way will be subject to the courts located in Ontario, Canada.
Severability and Waiver
Severability
If any provision of these Terms is found to be unenforceable or invalid, it will be applied to the greatest extent possible under the law, and the remaining provisions will stay in full force.
Waiver
If we do not enforce a right or provision of these Terms, that does not waive our ability to do so later, and waiving one breach does not waive any later breach.
Changes to These Terms
We may update or replace these Terms at any time at our discretion. If a change is significant, we will make reasonable efforts to provide notice before it takes effect and will update the “Last updated” date above. By continuing to use the Website after changes take effect, you agree to the revised Terms. If you do not agree, please stop using the Website.
